NoDeskwork Terms of Use

These Terms of Use ("Terms") govern access to and use of the NoDeskwork platform, including:
- The NoDeskwork mobile application ("App")
- The website located at https://app.nodeskwork.com/ ("Website")
- All related AI analysis and enterprise services (collectively, the "Service")
The Service is provided by NoDeskwork LLC, a California limited liability company ("NoDeskwork," "we," "us," or "our").
By accessing or using the Service, you agree to these Terms.
If you access the Service on behalf of a company or organization ("Customer"), you represent that you have authority to bind that entity.
1. Enterprise-Only Service; Geographic Availability
1.1 Enterprise-Only Service
The Service is designed exclusively for business and enterprise customers.
1.2 Geographic Availability
The Service is offered and directed solely to business customers located in available regions (the "Available Regions").
The Service is not directed to, marketed toward, or intended for use by individuals or entities located outside the Available Regions, including, without limitation, the European Economic Area (EEA), the United Kingdom, or Switzerland. NoDeskwork does not offer goods or services to, and does not monitor the behavior of, individuals located in the EEA or the United Kingdom within the meaning of the EU General Data Protection Regulation or the UK General Data Protection Regulation.
By accessing or using the Service, Customer represents and warrants that:
- It is established and operates in an Available Region and is not established in the EEA, the United Kingdom, or Switzerland
- It will not use the Service to record, upload, or otherwise process personal data of individuals located in the EEA, the United Kingdom, or Switzerland
NoDeskwork may restrict, suspend, or refuse access to the Service from locations outside the Available Regions at its discretion.
2. Account Provisioning
2.1 Account Creation and Provisioning
User accounts may be created through one of the following methods:
- Administrator Provisioning: Accounts may be created and assigned by NoDeskwork or by an authorized administrator designated by the Customer.
- Self-Registration: Users may create accounts directly through App where such functionality is made available by NoDeskwork.
All user accounts must be associated with a specific Customer organization. NoDeskwork may require verification, approval, or domain-based validation before granting full access to the Service.
NoDeskwork reserves the right to approve, restrict, or deny account creation at its discretion.
2.2 Account Responsibility
Each Customer is responsible for all activities conducted under accounts associated with its organization, whether such accounts are:
- Provisioned by NoDeskwork
- Created by an authorized administrator
- Self-registered by users and subsequently linked to the Customer organization
The Customer is responsible for:
- Managing and approving user access to its organization
- Verifying that self-registered users are authorized to join the organization
- Promptly removing access for unauthorized, inactive, or former personnel
- Maintaining the confidentiality of account credentials
Users are responsible for maintaining the security of their login credentials and must not share access with others.
NoDeskwork is not responsible for unauthorized access resulting from Customer's failure to properly manage user permissions or account security.
3. Description of Service
The Service enables authorized users to:
- Record operational video through App
- Upload video securely to the NoDeskwork platform
- Review AI-generated analysis and structured insights via Website
The Service is intended for operational documentation and AI-assisted review workflows.
4. User Content
4.1 Definition
"User Content" means all video recordings, audio, images, metadata, and related materials uploaded to the Service.
4.2 Ownership
The Customer retains all right, title, and interest in and to User Content.
NoDeskwork does not claim ownership of User Content.
4.3 Customer Representations and Warranties
By submitting User Content to the Service, Customer represents and warrants that:
- It has obtained all rights, licenses, consents, and permissions necessary to upload, process, and use the User Content in connection with the Service
- The User Content does not violate any applicable law, regulation, or third-party rights, including privacy, publicity, and intellectual property rights
- It has provided all required notices and obtained all necessary consents from individuals appearing in the User Content
4.4 License to Use User Content
Customer grants NoDeskwork a limited, non-exclusive, worldwide license to:
- Store
- Process
- Analyze
- Modify
- Transmit
- Generate AI Outputs from
User Content for the purposes of:
- Providing the Service
- Maintaining and supporting the Service
- Developing, improving, and enhancing the Service
- Ensuring safety, security, and integrity of the Service
- Enforcing these Terms and applicable policies
- Complying with applicable laws and regulations
NoDeskwork will not sell or publicly distribute Customer's raw User Content.
4.5 Processing and Modification of Content
Customer acknowledges and agrees that NoDeskwork may process and modify User Content as necessary to provide the Service and improve AI analysis.
Such modifications may include, but are not limited to:
- Changing video format or encoding
- Adjusting resolution or compression
- Segmenting or trimming content
- Extracting frames, metadata, or features
4.6 AI Training and Opt-Out
NoDeskwork may use User Content to develop, train, and improve its AI models and related technologies.
Customer may opt out of having its User Content used for AI training through settings provided in the Service.
Customer acknowledges that:
- Opting out may limit the ability of the Service to optimize or personalize AI analysis for its use cases
- Certain system-level improvements unrelated to model training may still require processing of User Content
4.7 Data Retention
Unless otherwise agreed in writing, User Content and AI Outputs stored on NoDeskwork's servers may be deleted upon the earliest of:
- Expiration or termination of the applicable paid service period;
- One (1) year after upload or creation of the User Content; or
- Closure of the Customer's account.
Videos recorded using the NoDeskwork mobile application are temporarily stored on the user's device until they are successfully uploaded to the Service. Upon successful upload, the local copy is ordinarily deleted automatically by the application.
If a recorded video cannot be uploaded for any reason (including, without limitation, network connectivity issues, insufficient device storage, application errors, or prolonged lack of a suitable network connection), NoDeskwork may automatically delete the locally stored video after it has remained on the device for thirty (30) days or longer.
5. AI-Generated Outputs
The Service uses automated artificial intelligence systems to generate summaries, classifications, and operational insights ("AI Outputs").
Customer acknowledges:
- AI Outputs are generated algorithmically
- AI Outputs may contain inaccuracies
- AI Outputs are assistive tools, not professional advice
AI Outputs must be reviewed by qualified personnel before being relied upon for regulatory, legal, or safety-critical decisions.
NoDeskwork does not warrant the accuracy, completeness, or reliability of AI Outputs.
6. Customer Responsibilities
Customer is responsible for its use of the Service and for ensuring that its users comply with these Terms.
Without limiting Section 4.3, Customer agrees to:
- Use the Service only for lawful business purposes
- Comply with all applicable laws and regulations in connection with its use of the Service
- Implement and maintain appropriate internal policies governing the use of video recording and AI analysis tools
- Manage user access and permissions within its organization
- Ensure that its users are properly trained in the appropriate use of the Service and AI Outputs
Customer is solely responsible for how it uses the Service and any decisions made based on AI Outputs.
7. Data Security
NoDeskwork implements commercially reasonable administrative, technical, and physical safeguards to protect User Content.
However:
- No system is completely secure
- Transmission over the internet carries inherent risk
NoDeskwork is not liable for unauthorized access caused by factors outside its reasonable control.
8. Confidentiality
NoDeskwork will treat User Content as confidential business information and will not disclose it except:
- To provide the Service
- To authorized subprocessors bound by confidentiality
- As required by law
- With Customer consent
9. Fees and Payment
Access to the Service may require payment under a separate order form or agreement.
Customer agrees to:
- Pay all applicable fees
- Provide accurate billing information
- Pay invoices according to agreed terms
Failure to pay may result in suspension.
10. Intellectual Property
All intellectual property rights in the Service — including software, AI systems, models, algorithms, methodologies, branding, architecture, and documentation — remain the exclusive property of NoDeskwork or its licensors.
Subject to these Terms, NoDeskwork grants Customer a limited, non-exclusive, non-transferable right to access and use the Service.
Customer retains ownership of its User Content and may use, reproduce, modify, and create derivative works from:
- User Content; and
- AI Outputs expressly provided to Customer through the Service or the documented API
for any lawful purpose, including internal use and external commercial use.
Notwithstanding the foregoing, the rights granted to Customer with respect to User Content and AI Outputs apply only to User Content and AI Outputs that are expressly made available through the Service or the documented API. Nothing in this Section grants Customer the right to access, derive, collect, or use information from the Service beyond the User Content and AI Outputs expressly provided through the documented API or other authorized interfaces expressly authorized by NoDeskwork.
API and Embedded Content. To the extent NoDeskwork provides APIs, temporary URLs, embedded pages, or similar integration mechanisms, Customer may store, process, display, and otherwise use the information expressly returned by the documented API for its lawful business purposes. Temporary URLs, embedded pages, and other presentation mechanisms are provided solely to display Service content as intended by NoDeskwork and are not licensed as alternative data access mechanisms.
Accordingly, except as expressly permitted by the documented API or by written agreement with NoDeskwork, Customer may not:
- Reverse engineer, decompile, or attempt to extract source code, models, or underlying components of the Service
- Retrieve, parse, scrape, crawl, or otherwise extract data or metadata from HTML, JavaScript, CSS, embedded pages, temporary URLs, network requests, or other Service resources beyond the information expressly returned by the documented API
- Use temporary URLs, embedded pages, or other presentation mechanisms as a substitute for the documented API
- Circumvent technical or contractual restrictions governing access to Service content
- Access or collect information that is not expressly exposed through the documented API
- Use the Service or AI Outputs to develop, train, or improve any competing product or service
- Access or use the Service in a manner intended to benchmark, replicate, or compete with the Service
Use of AI Outputs does not grant Customer any ownership or rights in NoDeskwork's underlying models, algorithms, or technology.
11. Service Availability
The Service may be modified, updated, suspended, or discontinued at any time.
NoDeskwork does not guarantee uninterrupted availability.
Maintenance windows and system upgrades may cause temporary interruptions.
12. Termination
NoDeskwork may suspend or terminate access if:
- Customer breaches these Terms
- Fees remain unpaid
- Required by law
- Inactive for over a year and you do not have a paid account
Upon termination:
- Access to AI results may be disabled
- Data retention will follow NoDeskwork's internal data policies
Customer remains responsible for outstanding fees.
13. Limitation of Liability (California)
TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW:
NoDeskwork shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits or business interruption
- Decisions made based on AI Outputs
NoDeskwork's total liability shall not exceed the fees paid by Customer in the twelve (12) months preceding the claim.
Nothing in these Terms limits liability that cannot be limited under California law.
14. Indemnification
Customer agrees to defend, indemnify, and hold harmless NoDeskwork from any claims arising out of:
- Customer's User Content
- Violation of privacy or surveillance laws
- Misuse of the Service
- Breach of these Terms
15. Privacy & Data Handling (California)
Use of the Service is subject to the NoDeskwork Privacy Policy, available at: https://app.nodeskwork.com/privacy (the "Privacy Policy").
The Privacy Policy describes how NoDeskwork collects, uses, stores, retains, and discloses personal information and User Content.
To the extent applicable, NoDeskwork acts as a "service provider" (as defined under the California Consumer Privacy Act and its amendments) with respect to personal information processed on behalf of Customer.
Customer is responsible for:
- Providing any required notices to individuals
- Obtaining any necessary consents
- Responding to consumer rights requests (e.g., access, deletion, correction)
In the event of a conflict between these Terms and the Privacy Policy regarding data handling practices, the Privacy Policy shall control.
16. Governing Law & Venue
These Terms shall be governed by the laws of the State of California, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in California.
17. Modifications
NoDeskwork may update these Terms from time to time.
Material changes will be communicated to Customers.
Continued use of the Service constitutes acceptance of revised Terms.
